Who is an "Officer" for the Purposes of RCW 42.17.241(1)(g)? STATEMENT: When a person holds the title of "President," "Vice President," "Secretary," "Treasurer," or some derivation thereof, the title usually means that the person is an "officer" in that corporation. It is recognized, however, that certain business entities use these titles to denote a managerial job classification as opposed to one who holds a corporate office. Pursuant to RCW 23B.08.400, a corporation has the "officers" described in its bylaws or appointed by the board of directors in accordance with its bylaws. If a person holds his or her title pursuant to a position delineated in the corporate bylaws, then the person is an "officer" for the purposes of disclosure pursuant to RCW 42.17.241(1)(g). |
